In the Asia Pacific region, we have operations in Australia, New Zealand, Vietnam and Sri Lanka. We have approximately 1800 employees and 42 sites across the region.

We have a newly created leadership position for an Assistant General Counsel – Asia Pacific.  This role is based at Dandenong South, Victoria, and reports to the Executive Vice President – General Counsel (based in the US). 

The role will be a key member of the Asia Pacific regional leadership team and will provide represent the Company in a broad range of areas including M&As, new developments and expansions, commercial and employment matters, dispute resolution and litigation management, international law, contract law, risk evaluation and mitigation, and support corporate governance.

Key responsibilities include, but are not limited to:

  •  Provide strategic leadership and legal advice for Lineage’s Asia Pacific region, working closely with the region’s Senior Vice President, as well as regional, national and facility leadership
  • Coordinate and align with existing Lineage legal strategic initiatives, practices and procedures including provision of periodic reporting
  • Remain attuned to legislative and regulatory developments that may affect the Company and timely advise the Asia Pacific leadership team of related recommendations
  • Make appropriate recommendations regarding the Company’s position in key legal and regulatory areas, and develop and implement related policies and procedures
  • Manage day-to-day legal issues, including contract negotiation, executing business agreements, contracts, licenses and other legal agreements and corporate matters
  • Oversee all litigation by and against the Company in Asia Pacific, including the effective and efficient retention and supervision of outside counsel; draft or review all pleadings and strategy and supervise and coordinate with outside counsel regarding all such legal matters and strategy
  • Oversee documentation and risk management with respect to all financing and loan agreements/transactions for the Company
  • Provide legal assistance and advice to the Asia Pacific Leadership team and Bay Grove with respect to new expansion and development projects and real estate/facility acquisitions
  • Partner with the local HR teams to provide day to day advice and counsel on employment matters, industrial relations, and collective bargaining
  • Represent the Company in all regulatory matters and other governmental agency compliance issues and complaints
  • Assist with legal advice and representation of Company in tax disputes and proceedings
  • Perform Company Secretary and other corporate responsibilities for the various legal entities; advise and coordinate with Lineage corporate legal team regarding and preparation of all corporate documentation, including Plans of Merger, reorganisation, Corporate minutes and certificates, stock certificates and stock registers; preparation of all annual reports and returns in foreign jurisdictions in which corporations are qualified to do business; qualify companies to do accounts business in foreign jurisdictions; and preparation of all annual opinion letters and other required correspondence and opinions to accountants
  • Manage outside counsel for certain corporate, finance, litigation, employment, labor or real estate matters

To be successful, you will have:

  •  6-8 years of relevant corporate or other transactional experience gained in a top tier law firm or as in-house counsel
  • Must have Bachelor of Law, Juris Doctor or equivalent tertiary qualification from a recognized, accredited law school. Preferably top 25% of the graduating class
  • Must be admitted as an Australian solicitor with a current Australian Legal Practising Certificate or admission to practice in an overseas common law jurisdiction (with a willingness to obtain admission to an Australian jurisdiction)
  • Proven track record as a trusted advisor who provides incisive and pragmatic counsel, with sound judgment
  • Demonstrated ability to deal successfully with complex issues and a broad array of stakeholders
  • Proven ability and affinity for building value-added relationships with the leaders of the business, and to serve as an outstanding legal strategist
  • Experience in presenting to internal and external constituents, including Boards of Directors
  • Excellent interpersonal, people development, and communication skills
  • Ability to travel on a regular basis
  • Strong business instincts and acumen
  • International transactional experience
  • Cross border experience or experience in Asia is desirable but not essential
  • Must be willing to work in a fast-paced, growing company and adjust quickly to change
  • Must be able to manage multiple competing requests and ensure that projects are completed on a timely basis
  • Must work well independently and within a team, including the ability to work closely with all levels of management and staff
  • Thorough understanding of contract law
  • Ability to translate legal complexities into terms readily understood by management and line personnel
  • Desire to learn new areas of law and assist the legal team as needed on a wide variety of projects
  • Excellent analytical, research and reasoning skills
  • Excellent written and verbal communication skills
  • Must possess the highest professional ethics, good judgment and initiative
